General Terms
By accessing and placing an order with Threatcl Cloud, you confirm that you are in agreement with and bound by the terms of service contained in the Terms & Conditions outlined below. These terms apply to the entire website and any email or other type of communication between you and Threatcl Cloud.
Under no circumstances shall Threatcl Cloud be liable for any direct, indirect, special, incidental or consequential damages, including, but not limited to, loss of data or profit, arising out of the use, or the inability to use, the materials on this site, even if Threatcl Cloud or an authorized representative has been advised of the possibility of such damages.
Threatcl Cloud will not be responsible for any outcome that may occur during the course of usage of our resources. We reserve the right to change prices and revise the resources usage policy at any time.
Australian Consumer Law. Nothing in these Terms & Conditions excludes, restricts, or modifies any consumer rights, guarantees, or remedies under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) or any other applicable legislation where to do so would be unlawful. Where our liability cannot be excluded but can be limited, our liability is limited (at our option) to re-supplying the services or paying the cost of having the services re-supplied.
License
Threatcl Cloud grants you a revocable, non-exclusive, non-transferable, limited license to interact with the website and associated Threatcl Cloud Services, strictly in accordance with the terms of this Agreement.
These Terms & Conditions are a contract between you and Threatcl Cloud, the provider of the Threatcl Cloud website and the services accessible from it (collectively referred to as the "Threatcl Cloud Service").
You are agreeing to be bound by these Terms & Conditions. If you do not agree, please do not use the Threatcl Cloud Service. If you violate any of these Terms & Conditions, we reserve the right to cancel your account or block access to your account without notice.
Definitions
- Cookie: a small amount of data generated by a website and saved by your web browser, used to identify your browser, provide analytics, and remember information about you.
- Company: when this policy mentions "Company," "we," "us," or "our," it refers to Threatcl Cloud Pty Ltd.
- Country: where Threatcl Cloud or its owners/founders are based — Australia.
- Device: any internet-connected device such as a phone, tablet, or computer that can be used to visit Threatcl Cloud and use the services.
- Service: the service provided by Threatcl Cloud as described on this platform.
- Third-party service: advertisers, promotional and marketing partners, and others who provide our content or whose products or services we think may interest you.
- Website: Threatcl Cloud's site, accessible at https://threatcl.com.
- You: a person or entity registered with Threatcl Cloud to use the Services.
Restrictions
You agree not to, and you will not permit others to:
- License, sell, rent, lease, assign, distribute, transmit, host, outsource, disclose, or otherwise commercially exploit the website or make the platform available to any third party.
- Modify, make derivative works of, disassemble, decrypt, reverse compile, or reverse engineer any part of the website.
- Remove, alter, or obscure any proprietary notice (including any notice of copyright or trademark) of Threatcl Cloud or its affiliates, partners, suppliers, or licensors.
Your Account & the Service
To use the Threatcl Cloud Service you may need to create an account. You agree to provide accurate information, to keep your credentials secure, and to be responsible for all activity that occurs under your account. You must be at least 18 years old, or the age of legal majority in your jurisdiction, to create an account.
Customer Data and ownership. As between you and Threatcl Cloud, you retain all right, title, and interest in and to any threat models, HCL files, diagrams, configurations, documentation, and other content you upload to or create within the Service ("Customer Data"). You grant Threatcl Cloud a limited, non-exclusive, worldwide licence to host, store, process, transmit, display, and back up Customer Data solely as necessary to provide, secure, support, and improve the Service for you and to comply with our legal obligations. We will not sell your Customer Data, and we will not access it except as needed to deliver the Service, respond to a support request, address a security issue, or as required by law.
Subscriptions and billing. Paid plans are billed in advance on the cycle you select (for example, monthly or annually) and renew automatically until cancelled. You may cancel at any time through your account settings; cancellation takes effect at the end of the then-current billing period. We may change pricing for future billing cycles by giving you reasonable prior notice.
Service availability. We aim to keep the Service available, but except where any service level commitment is set out in a separate written agreement, the Service is provided without any uptime guarantee. We may perform scheduled or emergency maintenance from time to time.
Data on termination. Following termination or expiry of your account, we may delete Customer Data after a reasonable retention period. You are responsible for exporting any Customer Data you wish to retain prior to termination.
Refund Policy
By placing an order or making a purchase at Threatcl Cloud, you agree to these terms along with Threatcl Cloud's Privacy Policy.
14-day refund window. If you are not satisfied with a paid subscription, you may request a full refund within fourteen (14) days of the initial purchase by contacting support@threatcl.com. Refunds outside this window are at our discretion. Renewals, partial billing periods, usage-based charges, and any third-party fees are non-refundable except where required by law.
This refund policy is in addition to, and does not limit, any rights or remedies you may have under the Australian Consumer Law.
Your Suggestions
Any feedback, comments, ideas, improvements, or suggestions (collectively, "Suggestions") provided by you to Threatcl Cloud with respect to the website shall remain the sole and exclusive property of Threatcl Cloud.
Threatcl Cloud shall be free to use, copy, modify, publish, or redistribute the Suggestions for any purpose and in any way without any credit or compensation to you.
Your Consent
We've updated our Terms & Conditions to provide you with complete transparency into what is being set when you visit our site and how it's being used. By using our website, registering an account, or making a purchase, you hereby consent to our Terms & Conditions.
Links to Other Websites
These Terms & Conditions apply only to the Services. The Services may contain links to other websites not operated or controlled by Threatcl Cloud. Threatcl Cloud uses "Cookies" to identify the areas of our website that you have visited. A Cookie is a small piece of data stored on your computer or mobile device by your web browser. We use Cookies to enhance the performance and functionality of our website but they are non-essential to their use. Without these cookies, certain functionality may become unavailable or you would be required to enter your login details every time you visit the website.

Modifications and Updates to Our Website
Threatcl Cloud reserves the right to modify, suspend, or discontinue, temporarily or permanently, the website or any service to which it connects, with or without notice and without liability to you.
Threatcl Cloud may from time to time provide enhancements or improvements to the features and functionality of the website, which may include patches, bug fixes, updates, upgrades, and other modifications. You agree that all updates will be deemed to constitute an integral part of the website and subject to the terms and conditions of this Agreement.
Third-Party Services
We may display, include, or make available third-party content or provide links to third-party websites or services ("Third-Party Services").
You acknowledge and agree that Threatcl Cloud shall not be responsible for any Third-Party Services, including their accuracy, completeness, timeliness, validity, copyright compliance, legality, decency, quality, or any other aspect thereof. Third-Party Services and links thereto are provided solely as a convenience to you and you access and use them entirely at your own risk.
Term and Termination
This Agreement shall remain in effect until terminated by you or Threatcl Cloud. Threatcl Cloud may, in its sole discretion, at any time and for any or no reason, suspend or terminate this Agreement with or without prior notice.
This Agreement will terminate immediately, without prior notice, in the event that you fail to comply with any provision of this Agreement. Upon termination, you shall cease all use of the website.
Termination of this Agreement will not limit any of Threatcl Cloud's rights or remedies at law or in equity in case of breach by you of any of your obligations under this Agreement.
Copyright Infringement Notice
If you are a copyright owner or such owner's agent and believe any material on our website constitutes an infringement on your copyright, please contact us at support@threatcl.com with the following information:
- A physical or electronic signature of the copyright owner or an authorized person
- Identification of the material that is claimed to be infringing
- Your contact information, including your address, telephone number, and an email
- A statement that you have a good faith belief that use of the material is not authorized by the copyright owner
- A statement that the information in the notification is accurate and, under penalty of perjury, you are authorized to act on behalf of the owner
Indemnification
You agree to indemnify and hold Threatcl Cloud and its parents, subsidiaries, affiliates, officers, employees, agents, partners, and licensors harmless from any claim or demand, including reasonable attorneys' fees, due to or arising out of your: (a) use of the website; (b) violation of this Agreement or any law or regulation; or (c) violation of any right of a third party.
No Warranties
Subject always to the Australian Consumer Law and any other consumer guarantees that cannot lawfully be excluded, the website and Service are provided to you "AS IS" and "AS AVAILABLE" and with all faults and defects without warranty of any kind. To the maximum extent permitted under applicable law, Threatcl Cloud expressly disclaims all warranties, whether express, implied, statutory, or otherwise, with respect to the website and Service, including all implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
Neither Threatcl Cloud nor any of its providers makes any representation or warranty that the website will be uninterrupted or error-free, or that the website, its servers, or e-mails sent on behalf of Threatcl Cloud are free of viruses, scripts, trojan horses, worms, malware, or other harmful components.
Limitation of Liability
Nothing in this section limits any rights you have under the Australian Consumer Law or any other law that cannot be lawfully excluded. Subject to that, and notwithstanding any damages that you might incur, the entire liability of Threatcl Cloud and any of its suppliers under any provision of this Agreement shall be limited to the greater of (a) the amount actually paid by you to Threatcl Cloud for the Service in the twelve (12) months preceding the event giving rise to the claim, or (b) AUD $100.
To the maximum extent permitted by applicable law, in no event shall Threatcl Cloud or its suppliers be liable for any special, incidental, indirect, or consequential damages whatsoever, including damages for loss of profits, loss of data or other information, business interruption, personal injury, or loss of privacy arising out of or in any way related to the use of or inability to use the website or Service.
Severability
If any provision of this Agreement is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.
This Agreement, together with the Privacy Policy and any other legal notices published by Threatcl Cloud on the Services, shall constitute the entire agreement between you and Threatcl Cloud concerning the Services.
Waiver
Except as provided herein, the failure to exercise a right or to require performance of an obligation under this Agreement shall not affect a party's ability to exercise such right or require such performance at any time thereafter.
No failure to exercise, and no delay in exercising, on the part of either party, any right or power under this Agreement shall operate as a waiver of that right or power. In the event of a conflict between this Agreement and any applicable purchase or other terms, the terms of this Agreement shall govern.
Amendments to this Agreement
Threatcl Cloud reserves the right, at its sole discretion, to modify or replace this Agreement at any time. If a revision is material we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
By continuing to access or use our website after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use Threatcl Cloud.
Intellectual Property
The website and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Threatcl Cloud, its licensors, or other providers of such material and are protected by Australia and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
The material may not be copied, modified, reproduced, downloaded, or distributed in any way, in whole or in part, without the express prior written permission of Threatcl Cloud. Any unauthorized use of the material is prohibited.
Governing Law
This Agreement, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with it or its subject matter or formation, shall be governed by and construed in accordance with the laws of Western Australia, Australia, without regard to its conflict of law principles. Subject to the dispute resolution clause below, you and Threatcl Cloud submit to the exclusive jurisdiction of the courts of Western Australia and the courts of appeal from them.
Dispute Resolution
In the event of a dispute, you or Threatcl Cloud must give the other a written Notice of Dispute setting forth the name, address, and contact information of the party giving it, the facts giving rise to the dispute, and the relief requested. Please send any Notice of Dispute via email to: support@threatcl.com.
You and Threatcl Cloud will attempt to resolve any dispute through good-faith informal negotiation within sixty (60) days from the date the Notice of Dispute is sent. If the dispute is not resolved within that period, either party may refer the dispute to mediation administered by the Resolution Institute (Australia) in accordance with its Mediation Rules. If mediation does not resolve the dispute within a further sixty (60) days, the dispute may be referred to arbitration administered by the Australian Centre for International Commercial Arbitration (ACICA) in accordance with the ACICA Arbitration Rules. The seat of arbitration shall be Perth, Western Australia, and the language shall be English.
Nothing in this clause prevents either party from seeking urgent interlocutory or injunctive relief from a court of competent jurisdiction, or from exercising any non-excludable rights under the Australian Consumer Law.
Feedback Submissions
For the avoidance of doubt, this clause applies only to unsolicited feedback, ideas, creative suggestions, designs, or proposals you provide to Threatcl Cloud about the Service (for example, ideas for new or improved features). It does not apply to your Customer Data, which remains your property as set out in the "Your Account & the Service" section above.
Where you do submit such feedback, you agree that it will be treated as non-confidential and non-proprietary, and that Threatcl Cloud may use, copy, modify, publish, or redistribute it for any purpose without compensation or credit to you.
Promotions
Threatcl Cloud may, from time to time, include contests, promotions, sweepstakes, or other activities ("Promotions") that require you to submit material or information concerning yourself. Please note that all Promotions may be governed by separate rules that may contain certain eligibility requirements, such as restrictions as to age and geographic location. You are responsible for reading all Promotions rules to determine whether or not you are eligible to participate.
Typographical Errors
In the event a product and/or service is listed at an incorrect price or with incorrect information due to typographical error, we shall have the right to refuse or cancel any orders placed for the product and/or service listed at the incorrect price. If your credit card has already been charged for the purchase and your order is canceled, we shall immediately issue a credit to your credit card account in the amount of the charge.
Disclaimer
Threatcl Cloud is not responsible for any content, code, or any other imprecision. Threatcl Cloud does not provide warranties or guarantees.
In no event shall Threatcl Cloud be liable for any special, direct, indirect, consequential, or incidental damages or any damages whatsoever, whether in an action of contract, negligence or other tort, arising out of or in connection with the use of the Service or the contents of the Service.
The Threatcl Cloud Service and its contents are provided "as is" and "as available" without any warranty or representations of any kind, whether express or implied. Without limiting the foregoing, Threatcl Cloud specifically disclaims all warranties of merchantability, fitness for a particular purpose, or non-infringement of third-party rights.
Miscellaneous
Threatcl Cloud operates and controls the Threatcl Cloud Service from its offices in Australia. The Service itself is hosted on Google Cloud Platform infrastructure located in the United States, which means your Customer Data is stored and processed in the United States and may be subject to United States laws (including lawful access requests). By using the Service, you consent to this overseas storage and processing. Further detail about our use of sub-processors and overseas data transfers is set out in our Privacy Policy.
The Service is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation.
These Terms & Conditions (which include and incorporate the Threatcl Cloud Privacy Policy) contains the entire understanding between you and Threatcl Cloud concerning its subject matter, and supersedes all prior understandings.
